TotalUp — Terms of Use

These Terms of Use ("Terms") govern your access to and use of totalup.app and any related services (the "Service"), operated by TotalUp App ("TotalUp," "we," "us," or "our"). By creating an account or using the Service, you agree to these Terms. If you don't agree, don't use the Service.


1. Who these Terms apply to

The Service has two kinds of users:

  • Hosts - people who create an account to run leagues, log sessions, and enter scores.
  • Viewers - anyone who visits a public standings page (/l/{slug}) without signing up.

Both are bound by these Terms when they use the Service. Hosts are additionally bound by the sections that reference accounts and content.

You must be at least 13 years old to use the Service. If you're between 13 and the age of majority where you live, you represent that a parent or legal guardian has reviewed and agreed to these Terms on your behalf.


2. Your account (Hosts)

To create a league, you need an account. You agree to:

  • Provide accurate information when you sign up.
  • Keep your password confidential and not share your account.
  • Accept responsibility for everything that happens under your account.
  • Notify us promptly if you believe your account has been compromised.

We may suspend or terminate accounts that violate these Terms, abuse the Service, or are used to harass others. We'll generally try to give notice where reasonable, but we aren't required to.


3. What you can do with the Service

You can:

  • Create leagues, add teams, run sessions, and enter scores.
  • Share your league's public standings URL and QR code however you like.
  • Archive or delete your own leagues.

You can't:

  • Use the Service to break the law, infringe anyone's rights, or harass or harm others.
  • Upload team names or other content that is obscene, defamatory, hateful, or threatening, or that contains personal information about third parties without their consent.
  • Attempt to access accounts, leagues, or data that aren't yours.
  • Reverse engineer, scrape, or systematically extract data from the Service, except for your own data from leagues you own.
  • Send automated traffic, attempt to overload the Service, or probe for vulnerabilities without permission.
  • Resell, sublicense, or white-label the Service.

We reserve the right to remove any content (including team names) we consider inappropriate, and to restrict or terminate access for anyone who violates these rules.


4. Public standings are public

When you create a league, its standings page at /l/{league-slug} and its session results pages are public by default and accessible to anyone with the URL. This is the point of the product.

That means:

  • Team names, scores, session dates, and venue names you enter will be visible to anyone who visits the URL.
  • The URL may be discovered, shared, indexed by search engines, or linked from elsewhere.
  • You should not enter anything into team names, venue names, or league names that you wouldn't want to be public. Don't use real last names, phone numbers, or other personal information in team names without the relevant people's consent.

You are solely responsible for the content you enter. If a team member objects to their team's name or score being public, that's between you and them, you can edit or remove the content through your host dashboard.


5. Your content

You retain all rights to the content you create in the Service; league names, team names, session data, scores, and so on ("Your Content").

By entering Your Content into the Service, you grant us a worldwide, non-exclusive, royalty-free license to host, store, reproduce, display, and transmit it solely to operate and improve the Service. This license ends when you delete the content or your account, except to the extent we need to retain copies for backups, legal compliance, or in anonymized/aggregated form.

You represent that you have the right to enter the content you enter, and that it doesn't violate anyone's rights or any applicable law.


6. Our content

The Service itself, the software, design, logo, brand name "TotalUp," copy, and other materials we create is owned by us or our licensors and protected by copyright, trademark, and other laws. These Terms don't grant you any rights to our branding, code, or design beyond the right to use the Service as intended.


7. The Service is free (for now)

The MVP of the Service is free to use. We may introduce paid plans, premium features, or usage limits in the future. If we do:

  • We'll give reasonable advance notice before charging you for anything.
  • Any free tier we promise at the time you sign up will remain available to you on reasonable terms, though specific features within it may change.
  • You'll never be charged without your explicit agreement.

8. Changes to the Service

We're actively building the Service. We may add, change, remove, or break features at any time. We may also take the Service down for maintenance, upgrades, or any other reason. We'll try to avoid disruption during active sessions where we can, but we make no guarantees about uptime, latency, or availability.

If we discontinue the Service entirely, we'll try to give reasonable notice and a way to export your data, but we aren't required to.


9. Changes to these Terms

We may update these Terms over time. When we do, we'll update the "Last updated" date at the top. For material changes, we'll make a reasonable effort to notify Hosts by email or through a notice in the Service.

Continued use of the Service after changes take effect constitutes acceptance of the updated Terms. If you don't agree to the changes, stop using the Service and (if you're a Host) delete your account.


10. Termination

You can stop using the Service at any time. Hosts can delete their account from the account settings; this deletes your leagues, sessions, teams, and scores, subject to reasonable backup retention periods.

We may suspend or terminate your access at any time, with or without notice, if we reasonably believe you've violated these Terms, created legal risk for us, or abused the Service.

Sections of these Terms that by their nature should survive termination (including sections on Your Content license for already-distributed copies, disclaimers, limitation of liability, indemnification, and governing law) will survive.


11. Disclaimers

The Service is provided "as is" and "as available," with all faults and without warranty of any kind.

To the fullest extent allowed by law, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Service will be uninterrupted, error-free, secure, or accurate.

In particular, we don't warrant that:

  • Scores you enter will never be lost, corrupted, or miscalculated.
  • The Service will always be available during your trivia night.
  • The cumulative leaderboard calculation is free of bugs.
  • Public standings pages will always load for your teams.

You are responsible for keeping your own backups of anything important. For anything where accuracy truly matters (prize money, official league results, contractual obligations), don't rely solely on the Service, keep independent records.


12. Limitation of liability

To the fullest extent permitted by law, in no event will TotalUp, its owners, operators, or affiliates be liable to you for any indirect, incidental, consequential, special, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or other intangible losses, arising from or related to your use of (or inability to use) the Service — even if we've been advised of the possibility of such damages.

Our total aggregate liability for any claim arising from these Terms or the Service will not exceed one hundred US dollars ($100) or the amount you paid us for the Service in the twelve months before the claim arose, whichever is greater.

Some jurisdictions don't allow certain limitations of liability. In those places, our liability is limited to the fullest extent permitted by applicable law.


13. Indemnification

You agree to indemnify and hold harmless TotalUp and its owners, operators, and affiliates from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

  • Your use of the Service,
  • Your Content,
  • Your violation of these Terms, or
  • Your violation of any third party's rights.

We may, at our expense, assume the exclusive defense and control of any matter subject to indemnification, in which case you agree to cooperate with our defense.


14. Governing law and disputes

These Terms are governed by the laws of the State of Georgia, USA, without regard to its conflict-of-laws rules.

You and we agree that any dispute arising from these Terms or the Service will be brought exclusively in the state or federal courts located in Georgia, and you consent to the personal jurisdiction of those courts.

Nothing in this section prevents either party from seeking injunctive relief in any court of competent jurisdiction to protect intellectual property or confidential information.


15. Miscellaneous

  • Entire agreement. These Terms (together with any privacy policy we publish) are the entire agreement between you and us regarding the Service, and supersede any prior agreements.
  • Severability. If any part of these Terms is held unenforceable, the rest remains in effect.
  • No waiver. Our failure to enforce any provision isn't a waiver of our right to enforce it later.
  • Assignment. You can't assign these Terms without our written consent. We may assign them in connection with a merger, acquisition, or sale of assets.
  • No agency. These Terms don't create any partnership, employment, or agency relationship between you and us.
  • Headings. Section headings are for convenience only and don't affect interpretation.
